The Problem

Mineral reports today are written like it's 1995.

The typical SK-1300 or NI 43-101 engagement is six to nine months of consultants in a war-room, costs USD $80k to $400k, and is stale before it's filed. The market moved on; the report didn't.

Public mining companies are required to disclose material changes in reserves as they happen, and to publish refreshed technical reports each time the resource changes significantly. The current operating model can't economically support that cadence — so most companies file once per year, hold their breath, and hope nothing material happens between reports.

MiDAS changes the unit economics. The platform models the resource continuously. Every quarter the same dataset produces an updated SK-1300, an updated NI 43-101, and an updated JORC report — formatted to each regulator, ready for QP signoff, filed via the automated EDGAR / SEDAR+ / ASX pipelines.

The result: real-time reserves disclosure for a fraction of the legacy cost.

SEC S-K 1300

United States

Item 1300 of Regulation S-K — replaced Industry Guide 7 in 2021. Technical Report Summaries are required as Exhibit 96 to annual filings (10-K), registration statements (S-1, F-1), and 20-F for foreign private issuers. Material changes between cycles trigger re-disclosure. MiDAS produces Exhibit 96 in the format the SEC's EDGAR Filer Submission API accepts.

NI 43-101

Canada

National Instrument 43-101 governs mineral disclosure for issuers on Canadian exchanges. Technical Reports are required on a triggered basis — annual filings, prospectuses, material change reports, and any disclosure containing scientific or technical information about a mineral project. SEDAR+ replaced SEDAR in June 2023 and is the filing venue. MiDAS generates the Form 43-101F1 template ready for QP signature.

JORC Code 2012

Australia

The Australasian Code for Reporting of Exploration Results, Mineral Resources and Ore Reserves — the standard for ASX continuous disclosure under Listing Rule 3.1. Competent Persons sign off on each report. MiDAS produces JORC Tables 1, 2, and 3 with the Competent Person Statement attached.

The Cadence

Every quarter, an updated technical report.

Public mining companies file financial statements every quarter — and cross-reference reserves in every one. Investors price the stock against those reserves. Auditors check them. Lenders covenant against them. And yet most companies still refresh the underlying technical report only once per year.

Until now it has been too expensive to do otherwise. A quarterly NI 43-101 engagement is a quarter-million dollars per year per asset; quarterly SK-1300 reporting was effectively impossible.
